| Surinnder K. Jolly (FCS, M.Com, LL.B., CAIIB) |
| A Fellow Member of The Institute of Company Secretaries of India. He started his career in the banking industry in 1982 and then moved on to the corporate sector in 1989 and subsequently worked with various industrial houses of repute including United Leasing Ltd. and Suraj Vanaspati Ltd. He continued in the employment till 1996 and thereafter has been engaged in the professional works. During his tenure he handled Loan syndication with various Financial Institutions for Rupee and FCL loans; liaison with SEBI for public and Rights issue of shares, with State Financial Corporations for Joint Venture Projects, with RBI / FIPB for the foreign investment and related matters including JV approvals. He effectively controlled the cost of capital by aggressively and successfully re-negotiating the interest rates with the banks and FIs.

| In the professional capacity, since 1996, has been advising corporate clients on matters of Project financing, Equity structuring, Loans syndication, Project implementation, Takeovers, Mergers and Acquisitions, Corporate Restructuring, Revivals, MIS system development and Management consultancy services to the Promoters. He has to his credit a number of ‘Turnaround’ stories in the last 6-7 years and has worked with a number of Private Equity players, ADB/AFIC. |

| Santosh was enrolled as an Advocate in the year 2006 with the Bar Council of Uttar Pradesh. Has comprehensive and intense experience of drafting and arguing on the original and appellate jurisdictions of the Hon’ble Supreme Court, Delhi High Court, and various other Courts and tribunals. Has varied experience in issues under the Transfer of Property Act, Specific Relief Act, Partition suits, Copyright Act, Trademarks Act, Designs Act, Company Appeals, Proceedings before the Official Liquidator, Petitions for Oppression and Mismanagement before the Company Law Board, Writ petitions, Letters Patent Appeal.
Santosh is an expert in Drafting and Vetting of Memorandum of Understanding, Promoters Agreement, Shareholders Agreement and Commercial Agreements. |

| Vishal Verma is an Associate Member of the Institute of Company Secretaries of India (ICSI). He holds B.Com (H) degree from Delhi University and M.Com degree from IGNOU. He also passed the CA PE-II examination of ICAI. He started his career in accounting field and after completing CS he handled all kinds of secretarial and compliance matters. During his CA article-ship, he got the exposure of internal, concurrent and statutory audit along with exposure in taxation and due diligence matters. Currently he is handling the finance matters in this firm. |
